STATUTES OF THE ASSOCIATION

 

1. Name

The name of the association is WEFA Humanitäre Organisation eV, and the Association is to be registered under this name in the register of associations at the Amtsgericht (local court) of Cologne.

The association’s registered office is in Cologne.

2. Nature and purpose of the association

1.) The Association exclusively pursues non-profit charitable purposes. The object and purpose of the associations to provide aid to people in emergency situations, natural disasters, acts of war, or adverse. social circumstances.

2.) The following is a non-exhaustive list of activities by which the association may provide aid: construction or reconstruction of hospitals, buildings, schools, educational and training facilities, promotion of public health care, subsidies for operating costs, provision of drugs and medical devices, food distribution, and self-help projects involving food production, installation of processing systems, construction and maintenance of orphanages or children’s homes, or sponsorship of orphans.

3.) The purpose of the association is achieved especially by collecting financial and material donations from home and abroad.

4.) The association may organize various social or cultural activities such as seminars, events, or charity bazaars towards the successful implementations of aid projects.

5.) The association may act on its own or coordinate with other humanitarian organizations in aid project implementation and management.

3. Altruism

The association pursues altruistic motives and does not primarily act in its own economic interest.

4. Membership

1.) The association draws a fundamental distinction between associate members and full members.

An associate member may be any natural person or legal entity, but shall not be entitled to vote. Associate members act as promoters for the association without playing an active role in the association.

Full members shall have paid a year of contributions regularly; they are recognized for their active volunteer work and are known to the association’s executive committee. Full members may vote or stand for election.

2.) Associate membership is available to any adult person that supports the objectives of WEFA Humanitarian Organization.

Minors under the age of eighteen require the permission of a parent or legal guardian; only adult full members are entitled to vote.

3.) The executive committee of the association shall decide on written membership applications or full members continued membership status according to application. Membership may be refused without giving reasons.

4.) Any member, whether a full or associate member, may participate in the general assembly; only full members shall have voting rights. Each full member has one vote that may be transferred by proxy or delegated to another if the member is unable to attend.

5.) The association may confer honorary membership to adult natural persons or to legal entities on condition that such parties have rendered outstanding services to the community or the objectives pursued in the community. The executive committee shall confer honorary memberships by resolution. Honorary members pay no contribution.

6.) Each member shall adhere to the association’s statutes, the resolutions of the general assembly, the executive committee, the rules and procedures, and the house rules.

7.) The executive committee may with immediate effect exclude any member for a cause which comprises violating the goals and interests of the association or failing to pay contributions despite demands to do so. The member shall be given an opportunity of defense against exclusion. Exclusion requires a two-thirds majority. An appeal may be filed against the resolution to exclude a member within one month after the corresponding resolution for the next general assembly, whose decision may be final.

8.) Any member may withdraw membership from the association. The member shall give notice of withdrawal by registered mail to the executive committee before the end of the respective quarter.

9.) Members shall have no claims against the association after withdrawal or exclusion. Any debts towards the association shall remain at their full value on expiry of membership.

5. Fiscal Year

The fiscal year is equal to the calendar year.

6. Contributions

1.) Donations for the association are collected from home and abroad.

2.) The executive committee shall decide the annual contribution amount and payment deadline.

7. Management bodies in the association

The management bodies of the association are the General Assembly and the Executive Committee.

8. General Assembly

1.) The General Assembly shall be convened by the executive committee at least once every four years.

2.) All members of the association shall be invited to the general assembly, regardless of whether they are full or associate members.

Notifications and agenda shall be sent at least two weeks before the scheduled date of the general assembly by the executive committee. The general assembly shall be convened in writing or by telephone.

3.) The general assembly shall decide by a simple majority of votes cast unless otherwise stated in the statutes.

4.) Unexcused absence from two consecutive sessions of the general assembly shall result in automatic loss of full membership status.

5.) The General Assembly shall be responsible for the following activities:

  1. Receipt of the accountability and cash statement from the executive committee
  1. Approval of the executive committee’s activities
  1. Elections for new executive committee members
  1. Alterations to the statutes
  1. Dissolution of the association

6.) Alterations to the statutes shall require the approval of two thirds of the votes cast by full members at the general assembly.

9. Executive Committee

1.) The executive committee shall be elected from the ranks of the full members for a term of five years beginning on the date of election

2.) The executive committee comprises a chairperson, deputy chairperson and treasurer.

3.) The association is represented in court and out of court by the chairperson.

4.) If an executive committee member resigns from the executive committee before his or her regular term in office ends, the executive committee may replace this member by a full member up until the end of the respective term of office.

5.) Resolutions shall be passed by simple majority. In a tie, the chair person or the deputy chairperson if the chair person is unable to attend, shall decide on whether to pass the resolution.

6.) The executive committee may establish branches of the association at home and abroad as required.

7.) Executive committee members may act in full time or volunteer capacity.

8.) The executive committee may appoint a managing director in order to manage current business.

9.) The executive committee may of its own accord make amendments to the statutes as required by regulatory, judicial and financial authorities for formal reasons. These amendments to the statutes shall be communicated to the members.

10. Certification

Resolutions passed by the executive committee or genral assembly shall be taken down in the minutes to be signed by the chairperson and the person taking the minutes.

11. Charitable status

1.) Donations, membership fees, and any surpluses shall be used solely for the principles laid down in the statutes.

2.) Association funds may only be used for purposes stated in the statutes. Members shall not receive payments from association funds.

3.) No person alien to the purpose of the organization shall benefit from any expenditures, nor shall any person benefit from disproportionately high renumeration.

12. Dissolution of the association

1.) the association may be wound up by a three-quarter majority of votes cast at a general assembly on condition that the agenda includes a motion for the association’s dissolution in the invitation to the general assembly.

2.) If the association should be wound up or its purpose cease to apply, the general assembly shall pass a resolution to transfer the remaining assets of the association to charitable and cultural institutions that meet the fiscal requirements for charitable status with corresponding aims in the statutes.

 

These statutes were amended and extended on 30th July 2006 after an objection from Cologne Amtsgericht on 21st June 2006.
